CLUB RULES

 

Adopted by Resolution of a Special General Meeting

held on 16 January 2007

 

1.                  Name

The Club shall be called Horley Town Football Club.

 

2.                  Objects

The objects of the Club are:

2.1              the furtherance of sporting, social and recreational activities; and

2.2              the provision and maintenance of the Club’s ground and premises known as ‘The New Defence’ at Court Lodge Road, Horley, Surrey RH6 8RS.

 

3.                  Club colours

The main Club colours shall be claret and blue.

 

4.                  Trustees

4.1              The Club’s premises known as The New Defence shall be vested in the trustees to hold upon trust for the Club.

4.2              The number of trustees must be not more than five and not less than two.

4.3              The trustees shall be elected from time to time as necessary by the members of the Club at a general meeting.

4.4              A trustee may resign by giving notice in writing to the management committee.

4.5              A trustee shall hold office until death or resignation or until removed from office by a resolution of a general meeting approved by two-thirds of the members present at the meeting and entitled to vote.

4.6              On the death, resignation or removal from office of a trustee, the management committee shall take the necessary steps to procure the appointment (if necessary) of a new trustee at a general meeting and as soon as possible thereafter take all lawful and reasonably practicable steps to procure the vesting of The New Defence in the names of the new and, as the case may be, continuing trustees.

4.7              The trustees must deal with The New Defence as directed by the management committee and an entry in the minute book of that committee shall be conclusive evidence of a resolution. Rule 16.4 makes provision for the use of other funds (which, for these purposes, will include any future proceeds of sale of The New Defence) held by the trustees upon trust for the Club.

 

5.                  Membership: general

5.1              The Club shall be a members club and shall consist of ordinary members[, associate members] and temporary members.

5.2              Each member agrees to be bound by these rules upon admission to the benefits and privileges of membership.

 

6.                  Membership: ordinary members

6.1              Ordinary membership shall consist of the following categories of membership:

6.1.1        adult playing members (over eighteen years of age);

6.1.2        youth playing members (over sixteen but under eighteen years of age);

6.1.3        junior playing members (under sixteen years of age);

6.1.4        senior citizen social members (over sixty-five years of age); and

6.1.5        adult social members (over eighteen years of age).

 

7.                  Membership: associate members

7.1              Associate membership shall be available to the members of any independently constituted club invited by the management committee of the Club to use the facilities at the Club’s premises on payment of a single annual fee agreed from year to year between the management committee and the appropriate committee of that independently constituted club.

7.2              An associate member shall be entitled to all of the benefits and privileges of adult social membership (except that he or she shall not be entitled to vote at general meetings). Rule 19.3 makes provision for each independently constituted club to vote at general meetings in a representative capacity on behalf of its members.

7.3              Each such independently constituted club shall provide to the honorary secretary a written list of the names of its members from time to time and no person shall be admitted to the benefits and privileges of associate membership until an interval of two days has expired after his or her name has been given in writing to the honorary secretary in this manner.

 

8.                  Membership: temporary members

8.1              Temporary members shall comprise:

8.1.1        persons attending functions where the Club’s premises have been hired for the purpose of that function; and

8.1.2        such persons as the management committee may elect temporary members of the Club on such terms and at such subscriptions as it decides by resolution.

8.2              No person shall be admitted to the benefits and privileges of temporary membership pursuant to rule 8.1.1 unless his or her name is given by notice in writing to the honorary secretary at least seven days in advance of the function. His or her temporary membership shall begin at the start of the function and shall end when the function ends.

8.3              No person shall be admitted to the benefits and privileges of temporary membership pursuant to rule 8.1.2 until an interval of two days has expired from his or her election by the management committee.

8.4              No temporary member may be elected or re-elected pursuant to rule 8.1.2 for a period that exceeds in all one month.

8.5              The number of temporary members must not at any time exceed one-tenth of the membership of the Club (excluding the temporary members).

 

9.                  Membership: election of members

9.1              Every candidate for ordinary membership must apply in writing for admission to membership and must be proposed and seconded by a member of the Club.

9.2              The candidate’s full name and address and the names of the proposer and seconder must be communicated in writing to the honorary secretary, who must prominently exhibit these particulars in the Club’s premises in a part frequented by the members for a period of at least two days before the candidate’s election as an ordinary member.

9.3              Candidates for ordinary membership and candidates for temporary membership pursuant to rule 8.1.2 may be elected by the management committee at its sole discretion and the management committee shall have the power to refuse such membership without giving its reasons for doing so.

9.4              Until a candidate for ordinary membership is elected as a member, he or she is not entitled to any of the benefits or privileges of membership. Rule 8.3 makes provision for the admission of temporary members to the benefits and privileges of membership.

 

10.              Subscriptions and other fees

10.1          Every ordinary member must pay the appropriate annual subscription (without demand) as provided by these rules. Every temporary member elected pursuant to rule 8.1.2 must pay such subscription (if any) as is determined by the management committee in accordance with that rule. [Rule 7.1 makes provision for the annual fee payable in connexion with associate members.]

10.2          The annual subscription payable by each ordinary member shall be determined by a resolution of the members at AGM and due notice of the current annual subscriptions must be posted in a conspicuous place in the Club’s premises. Unless or until/such a resolution shall provide otherwise, the annual subscription payable by each category of ordinary member shall be as follows:

10.2.1    adult playing members: £55 per member;

10.2.2    youth playing members: £105 per member;

10.2.3    junior playing members: £65 per member for the first junior playing member in any given family; £50 per member for the second and subsequent junior playing members of the same family who are members in the same year;

10.2.4    senior citizen social members: £5 per member; and

10.2.5    adult social members: £20 per member.

10.3          In addition to the annual subscription, adult playing members shall be charged a match fee of such amount as is determined by the management committee from time to time.

10.4          Rules 27.4 and 27.5 make provision for entrance fees to be payable by members in certain circumstances. These entrance fees shall be of such amount as is determined by the management committee from time to time.

10.5          Rule 22.1 makes provision for entrance fees for guests.

10.6          Subscriptions, annual fees, match fees and entrance fees payable in accordance with these rules are deemed to be debts due to the honorary treasurer for the time being.

10.7          The appropriate annual subscription for ordinary members shall become payable on the first day of August in each year. The annual subscription of persons admitted to membership after that date in any given year shall be payable immediately and in full.

10.8          If any members fails to pay his or her subscription within twenty-one days after it becomes due and the honorary treasurer sends notice in writing to his address as recorded in the books of the Club calling on him to pay the subscription within seven days, then the management committee may terminate his or her membership without further notice if he or she fails to pay within that seven-day period.

 

11.              Management committee

11.1          Subject to rule 12 (purchase and supply of alcohol), the management of the Club must be entrusted to a management committee consisting of the president, vice-president, chairman, vice-chairman, honorary secretary, honorary treasurer (‘the officers’) and nine other members, all of whom must be a member of the Club, at least eighteen years old and entitled to vote at a general meeting.

11.2          The officers and members of the management committee shall be elected at the annual general meeting in accordance with the following provisions:

11.2.1    At each annual general meeting, one-third of the officers and members of the management committee (not being officers or members appointed or co-opted under rule 13.1 or rule 13.2 respectively) shall retire. Officers or members appointed or co-opted under rule 13.1 or rule 13.2 shall also retire in accordance with rule 13.3.

11.2.2    In order to create a sufficient number of vacancies, the officers and members must retire in order of seniority of election and, in case of equal seniority, the order of retirement must be determined by lot.

11.2.3    Retiring officers and members shall be eligible for re-election.

11.2.4    An election shall be held at the annual general meeting to fill the vacancies created by the officers and members retiring in accordance with rule 11.3.1 or in accordance with rule 13.3.

11.2.5    Rule 20.8 makes provision for the nomination of members to fill such vacancies.

11.3          The management committee must meet at least once in every month (except in the month of August) and may meet at such other times as it determines.

11.4          The management committee shall have a quorum of members equal to one-half of its officers and members plus one.

11.5          In accordance with rule 15.2, the chairman shall, when present, chair all meetings of the management committee but, if he or she is not present within fifteen minutes after the time appointed for the start of the meeting or has signified his or her inability to be present at the meeting, the members of the management committee then present may choose one of their number to be the chairman of the meeting.

11.6          At any meeting of the management committee, the person chairing the meeting in accordance with rule 11.5 shall, in addition to his or her original vote as a member of the committee, have a casting vote in the event of a tie.

 

12.              Purchase and supply of alcohol

12.1          The purchase of alcohol for the Club and supply of alcohol by the Club shall be managed by the management committee excluding those members of the committee who derive their membership of the committee by appointment or co-option under rule 13 (casual vacancies and co-opting).

12.2          Those members of the management committee invested by rule 12.1 with the management of the purchase of alcohol for the Club and supply of alcohol by the Club must not in any way be restricted in their freedom of purchase of alcohol.

12.3          No person shall receive at any time at the expense of the club or any member of the Club any commission, percentage or similar payment on, or with reference to, purchases of alcohol by the Club.

12.4          No person shall directly or indirectly derive any pecuniary benefit from the supply of alcohol by or on behalf of the Club to members or guests, apart from any benefit accruing to the Club as a whole and apart also from any benefit which a person derives indirectly by reason of the supply giving rise to or contributing a general gain from the carrying on of the Club.

12.5          Those members of the management committee invested by rule 12.1 with the management of the purchase of alcohol for the Club and supply of alcohol by the Club shall have the unfettered power to fix the permitted hours for the supply of alcohol by the Club in accordance with the licensing legislation in force from time to time. Until those members shall decide otherwise, the supply of alcohol by the Club shall be restricted to the following hours:

12.5.1    Monday to Sunday: 10.00 a.m. to 11.00 p.m. (with the bar steward’s discretion to close between 7.15 p.m. and 8.00 p.m. on a Saturday and/or Sunday);

12.5.2    Christmas Day, Good Friday: 12.00 noon to 2.30 p.m. and 7.00 p.m. to 10 p.m.

 

13.              Casual vacancies and co-opting

13.1          The management committee may from time to time fill any casual vacancy amongst the officers and members of the committee.

13.2          The management committee may from time to time co-opt up to six additional members.

13.3          Any officer or member of the management committee appointed pursuant to rule 13.1 or co-opted pursuant to rule 13.2 shall hold office and remain a member of the management committee only until the next following annual general meeting, whereupon he or she shall retire. Any such retiring members shall then eligible for re-election or further co-option.

 

14.              Sub-committees and managers

14.1          The management committee may from time to time appoint from amongst its officers and members such sub-committees as it seems necessary or expedient and may depute or refer to them such of its powers and duties as it may determine save for the management of the purchase of alcohol for the Club and the supply of alcohol by the Club.

14.2          The management committee shall each year appoint from amongst the members of the Club:

14.2.1    the team managers;

14.2.2    the ground manager; and

14.2.3    the entertainments manager.

14.3          Those members of the management committee invested by rule 12.1 with the management of the purchase of alcohol for the Club and supply of alcohol by the Club shall each year appoint the bar manager from amongst the members of the Club. The appointment of a bar manager shall in no way fetter the powers of management of the purchase of alcohol for the Club and supply of alcohol by the Club invested in those members by rule 12.1 and, accordingly, the bar manager shall at all times act under the superintendence, control and direction of those members so invested.

14.4          Each manager appointed in accordance with rule 14.2 or 14.3 may appoint members of the Club to serve on a committee to assist him or her in exercising such functions as are conferred upon him or her by the management committee (or, in the case of the bar manager, conferred upon him or her by those members of the management committee invested by rule 12.1 with the management of the purchase of alcohol for the Club and supply of alcohol by the Club) from time to time.

 

15.              Duties of the officers

15.1          The president shall, when present, preside over and chair all general meetings of the Club.

15.2          The chairman shall, when present, chair all meetings of the management committee.

15.3          The honorary secretary shall on all occasions in the exercise of his or her office act under the superintendence, control and direction of the management committee. He or she shall summon and attend all meetings of the management committee and all general meetings of the Club and shall take the minutes of all such meetings,

15.4          The honorary treasurer shall be responsible for seeing that all monies, whether received by him or her or by any other member on behalf of the Club, are duly paid into the Club’s bank account. He or she shall also:

15.4.1    ensure that all debts of the Club are paid as directed by the management committee;

15.4.2    make any petty cash payments required in the day-to-day running of the Club;

15.4.3    oversee, by way of a purchase requisition system, the purchasing of all items (save for alcohol) required by the Club;

15.4.4    produce at every meeting of the management committee the Club’s paying-in book, cashbook and cheque book for inspection, showing that the foregoing duties have been carried out; and

15.4.5    prepare accounts of the financial affairs of the Club, including a balance sheet and an income and expenditure account, which he shall submit for checking and agreeing by an independent, professionally-qualified person, and which he shall present to the annual general meeting.

 

16.              Application of the Club’s funds and profits

16.1          The Club must receive all monies from subscriptions, match fees, entrance fees etc. and shall meet the expenses incurred in conjunction with the Club’s ground and premises.

16.2          The income and property of the Club howsoever derived shall be applied solely towards the promotion of the objects of the Club as set out in these rules and no portion thereof shall be paid or transferred directly or indirectly by way of dividend, bonus or other distribution by way of profit to the members of the Club.

16.3          No money or property of the Club or any gain arising from the carrying on of the Club may be applied otherwise for the benefit of the Club as a whole or for some charitable, benevolent or political purpose or purposes chosen by resolution of a general meeting.

16.4          Funds held in the trustees’ account must be used only for capital projects or emergency payments. The management committee must present the trustees with full plans and costs to the trustees of any project needing funds from the trustees’ account. If agreement cannot be reached between the management committee and the trustees, the management committee must direct that a special general meeting be called so that all members entitled to do so may vote on the proposals. [The trustees shall comply with any resolution passed at such a general meeting and an entry in the minute book of the Club shall be conclusive evidence of a resolution.]

16.5          Accounts of the financial affairs of the Club, including a balance sheet and an income and expenditure account, which shall have been checked and agreed by an independent, professionally-qualified person in accordance with rule 15.4.5, must be made available to every member attending the annual general meeting.

 

17.              Annual general meetings

17.1          An annual general meeting of the Club must be held in June of each year.

17.2          At each annual general meeting:

17.2.1    the accounts for the previous financial year (having first been prepared and checked in accordance with rule 15.4.5 and made available to members in accordance with rule 16.5) must be presented and, if accepted, passed;

17.2.2    officers and other members of the management committee must be elected to fill such vacancies as arise in accordance with rules 11 and 13; and

17.2.3    any other business that has been communicated to the honorary secretary and included in the notice of the meeting sent by him to the members may be conducted.

17.2.4    the subscription for the following year shall be set

 

18.              Special general meetings

18.1          Subject to rule 20.2 (notice of general meetings), a special general meeting may take place at any time but may be convened only in accordance with the provisions of this rule.

18.2          The honorary secretary must convene and give notice of a special general meeting:

18.2.1    at the direction of the management committee; or

18.2.2    upon the requisition of at least ten adult playing, adult social or senior citizen members.

18.3          A requisition pursuant to rule 18.2.2 must state the purpose for which a meeting is required and must be remitted in writing to the honorary secretary.

 

19.              General meetings: voting

19.1          Subject to the remainder of this rule, every member over the age of eighteen years, including temporary members, shall be entitled to one vote at every general meeting of the club.

19.2          No associate member shall be entitled to vote a general meeting but each independently constituted club whose members enjoy associate membership pursuant to rule 7 shall be entitled to one vote at every general meeting on behalf of those associate members. Such vote shall be cast by the secretary of that club or by such other person nominated in writing to the honorary secretary at least seven days before the relevant general meeting.

19.3          No person who has not paid his or her annual subscription in accordance with rule 10 shall be entitled to vote at a general meeting whilst such subscription remains unpaid.

 

20.              General meetings: miscellaneous

20.1          For the avoidance of doubt, the term ‘general meeting’ includes the annual general meeting and any special general meeting convened in accordance with these rules.

20.2          At least fourteen days before any general meeting, the honorary secretary must send to every member at his or her address as recorded in the Club’s books or post in a conspicuous place in the Club’s premises a notice of the meeting stating the time when and the place where it will be held and the business to be conducted. 

a)      All eligible members shall have one vote only per proposition, whether in person at the annual general meeting or special general meeting.

b)      Postal votes shall be considered legal if submitted on the official voting form provided for that purpose.  No other form of submission shall be accepted.

c)      Postal votes shall be considered legal if received by the Club Hon. Secretary 24 hours before the annual general meeting or special general meeting.

d)      In the case of meetings convened under rule 16.4 (expenditure of funds in the Trustees’ account), Rule 28.1 (changes to the Rules) and Rule 30.1 (Winding up or dissolution ) notice of the meeting must be sent to every member at his or her recorded address.

20.3          The business at any general meeting must be limited to that provided for by these rules and any further matters set out in the notice convening the meeting.

20.4          Save where expressly required otherwise by these rules, the quorum at any general meeting is ten per cent. of the total adult playing, adult social and senior citizen membership.

20.5          A resolution passed by two-thirds of the members present at a general meeting and entitled to vote shall be competent to exceed or overrule any resolution passed by the management committee.

20.6          In accordance with rule 15.1, the president shall, when present, preside over and chair all general meetings but, if he or she is not present within fifteen minutes after the time appointed for the start of the meeting or has signified his or her inability to be present at the meeting, the members present and entitled to vote may choose one of their number to be the chairman of the meeting.

20.7          At any general meeting, the person chairing the meeting in accordance with rule 20.6 shall, in addition to his or her original vote as a member of the Club, have a casting vote in the event of a tie.

20.8          Nominations for the trusteeship, for any office or for membership of the management committee shall be proposed and seconded by a member entitled to vote at a general meeting. Such nominations may be made orally at the general meeting itself or by notice in writing given to the honorary secretary prior to the meeting.

 

21.              Expulsion of members

21.1          The management committee may expel any member who offends against the rules of the club or whose conduct, in the opinion of the management committee, renders him or her unfit for membership of the club.

21.2          Before any member is expelled, the honorary secretary must give that member seven days’ written notice to attend the meeting of the management committee and must inform the member of the complaints made against him or her.

21.3          No member may be expelled unless:

21.3.1    he or she is first given an opportunity of appearing before the management committee and answering complaints made against him or her; and

21.3.2    at least two-thirds of the management committee then present vote in favour of expulsion.

 

22.              Guests

22.1          Any member may introduce guests to the Club and its premises, provided that:

22.1.1    the guest must pay an entrance fee of fifty pence;

22.1.2    no one whose application for membership has been declined or who has been expelled from the Club may be introduced as a guest;

22.1.3    the member introducing a guest must enter the name of the guest together with his or her own name in a book, which must be kept on the Club’s premises;

22.1.4    the member introducing a guest must ensure that the guest complies with these rules and any regulations passed under them and that the guest does not purchase refreshments from the licensed bar; and

22.1.5    no one may be admitted as a guest pursuant to this rule 22.1 on more than one occasion in any calendar month.

22.2          In addition to guests introduced in accordance with rule 22.1, the following shall, whilst present on the Club’s premises, be considered the guests of the members of the Club:

22.2.1    members and supporters of visiting teams; and

22.2.2    members of other associations and clubs who are attending function hosted by the Club, provided that a list of all such persons attending is submitted in writing to the honorary secretary at least two days in advance of the function.

 

23.              Opening of the Club’s premises

23.1          The Club’s premises shall be open between 10.30 a.m. and 12.00 midnight on each day, provided that the management committee may by resolution reduce or extend these hours generally or for any specified occasion.

23.2          The management committee has the power to close the Club’s premises in the event of disturbance or other circumstances warranting its closure, but will not unnecessarily deprive members of the right to use the premises.

 

24.              Powers of the management committee

The management committee shall have the followings powers in addition to any other powers expressly conferred by these rules:

24.1          The power from time to time to make, repeal and amend any regulations (not inconsistent with these rules) as it thinks expedient for the management and well-being of the Club, its ground or premises. All regulations made by the management committee under this rule are binding on the members and their guests unless or until repealed by the management committee or set aside by a resolution of a general meeting in accordance with rule 20.5.

24.2          The power to borrow money on behalf of the Club. The majority required to pass a resolution exercising this power shall be three-quarters of the officers and members of the management committee present.

24.3          The power to mortgage, with the written permission of the trustees, all or any part or parts of the Club’s premises known as The New Defence. The majority required to pass a resolution exercising this power shall be sixty-five per cent. of the officers and members of the management committee present.

24.4          The power to employ (on such terms and conditions as comply with the relevant employment legislation in force from time to time), sufficient staff in such positions as are nominated by the management committee from time to time.

 

25.              Indemnities and limitation of liability

25.1          The trustees shall be effectually indemnified by the management committee out of the assets of the Club from and against any liability, costs, expenses and payments whatsoever which may be properly incurred or made by them in the exercise of their duties or in relation to any legal proceedings or which otherwise related directly or indirectly to the performance of the functions of the trustees of the Club.

25.2          In pursuance of the authority vested in the management committee by members of the Club, the officers and members of the management committee are entitled to be indemnified by the members of the Club against any liabilities properly incurred by them or any one of them on behalf of the Club wherever the contract is of a duly authorised nature or could be assumed to be of a duly authorised nature and entered into on behalf of the Club.

25.3          Neither the Club nor any of the officers or members of the management committee thereof shall be liable to any member or guest for any loss or damage to any property occurring from whatever cause in or about the Club’s premises, nor for any injury sustained by any member or guest whilst on or entering or leaving the Club’s premises, and notice to this effect shall at all times be displayed in a prominent position on the Club’s premises.

 

26.              Data Protection Act 1984

Membership of the Club and acceptance of these rules by the member shall be deemed to constitute consent to the holding of relevant personal data for the purposes of the Data Protection Act 1984.

 

27.              Miscellaneous rules

27.1          No gambling, drunkenness, bad language or disorderly conduct shall be permitted on the Club’s premises. Any infringement of this rule will render the offending member liable to be dealt with by the management committee under rule 21 (expulsion of members).

27.2          Club officials (which term includes the officers, members of the management committee, team and other managers, captains and players) are expected to carry out their obligations to the Club and to undertake the duties allotted to them each week in relation to matches etc.

27.3          Club officials, players and all other members are expected to assist in the implementation of these rules and of any regulations made by the management committee in relation to the running of the Club, its ground and premises, and to see that these rules and those regulations are enforced by spectators and officials of visiting clubs and by any other guest of the Club.

27.4          All members, except those listed in rules 27.4.1 to 27.4.3 below, wishing to use the Club’s facilities when there is a match taking place at the Club’s ground shall pay the same entrance fee as spectators. On production of his or her membership card, the following members will not be charged such an entrance fee:

27.4.1    the officers and members of the management committee;

27.4.2    players taking part in the match; and

27.4.3    children of such players under the age of sixteen years.

27.5          All members seeking admission to the Club’s premises on the occasions of the Christmas Dance or the New Year’s Eve Dance shall pay the relevant entrance fee as specified by the management committee.

27.6          The management committee may organise ‘adults only’ functions, to which persons under the age of sixteen years may be refused admission.

27.7          All complaints or suggestions shall be made in writing in a book kept on the Club’s premises by the honorary secretary for that purpose and must be signed in full by any member making such a complaint or suggestion.

27.8          Players selected each week to represent the Club in matches shall be notified of his or her selection by the Club.

27.9          Any player fined for misconduct by the county football association shall be personally liable for the payment of any fine, costs or other penalty imposed.

27.10      Upon ceasing to be a member of the Club (whether by expulsion or otherwise), a member forfeits all rights to and claim upon the Club and its property and funds.

 

28.              Modification of rules

28.1          No alteration or addition to these rules may be made except by resolution carried by a majority of at least two-thirds of the members present and entitled to vote at a general meeting notice of which contained particulars of the proposed alteration or addition.

28.2          Proposed amendments must be sent to the honorary secretary at least fourteen days in advance of the general meeting and must be included by the honorary secretary in any notice of the meeting given in accordance with rule 20.2.

28.3          As soon as possible and in any case within twenty-eight days after the making of any alteration or addition to these rules, the honorary secretary must give written notice of the alteration or addition to the relevant licensing authority.

 

29.              Interpretation of rules

29.1          The management committee is the sole authority for the interpretation of these rules and the regulations made by it from time to time.

29.2          Subject to rule 20.5 (power of a general meeting to overrule a decision of the management committee), the decision of the management committee upon any question of interpretation or upon any matter affecting the Club and not provided for by these rules or by the regulations is final and binding on the members.

 

30.              Dissolution of the club

30.1          No resolution for the winding-up or dissolution of the Club may be passed other than at a general meeting at which two-thirds of the members entitled to vote are present.

30.2          The majority required to pass a resolution for the winding-up or dissolution of the Club shall be three-quarters of the members present and entitled to vote at the general meeting

30.3          Where a resolution for the winding-up of the Club is passed in accordance with this rule, the management committee must immediately, or at such future date as is specified in the resolution, proceed to realise, and direct the trustees to realise, the property of the Club and to satisfy its debts and liabilities.

30.4          If, upon the winding-up or dissolution of the Club, there remains after the satisfaction of its debts and liabilities any property whatsoever, the same shall not be paid to or distributed amongst the members of the Club but shall be given or transferred to some other [corporation or association] having objects similar to the objects of the Club, such corporation or association to be determined by the members of the Club by resolution passed at a general meeting at or before the time of dissolution and if and in so far as effect cannot be given to such provision then to some charitable object.

30.5          Upon such transfer in accordance with rule 30.4, the Club will be dissolved.
